Terms of Service

These terms govern your use of Elite Public Speaking websites, coaching, classes, digital products, and authorized publishing tools.

Elite Public Speaking ("EPS," "we," "us," or "our") is a brand operated by Elitist Brand, LLC. These Terms of Service ("Terms") form an agreement between Elitist Brand, LLC and each person or organization that accesses or uses an EPS service.

In plain language Use EPS services lawfully, provide only content and accounts you are authorized to use, and do not treat educational guidance as a guaranteed outcome. You keep ownership of your content. EPS receives only the permissions reasonably needed to provide the service you request.

1. Acceptance and scope

By accessing or using an EPS website, purchasing or booking an EPS service, accessing a digital product, or authorizing an EPS publishing integration, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the applicable service.

These Terms apply to elitepublicspeaking.com, EPS coaching, classes, critiques, digital products, communications, and the JovanniAI – Elite Public Speaking Publishing integration. Additional written terms shown for a particular offer, checkout, engagement, or platform feature also apply. If those additional terms conflict with these Terms, the more specific terms control for that service.

2. Eligibility and authority

You must be legally capable of entering into this agreement. If you are under the age of majority where you live, a parent or legal guardian must authorize your use and agree to these Terms. If you use a service for a company, page, brand, client, or other organization, you represent that you have authority to bind that organization and to authorize the accounts, content, and actions involved.

3. Services and offer terms

EPS provides public-speaking education, coaching, critiques, classes, digital resources, and related tools. The exact scope, format, schedule, deliverables, access period, and price are those shown in the applicable offer or confirmed in writing. EPS may reasonably update nonmaterial features, delivery methods, and supporting technology while preserving the purchased service's essential purpose.

You are responsible for providing accurate information, attending scheduled sessions, completing any requested preparation, and deciding whether and how to apply the guidance provided.

4. Accounts and security

You are responsible for safeguarding account credentials and for activity performed through accounts under your control. Do not share access credentials or authentication codes with unauthorized people. Notify EPS promptly at jovanni@elitepublicspeaking.com if you believe an EPS-related account or connection has been compromised.

5. Authorized publishing integration

The JovanniAI – Elite Public Speaking Publishing integration helps authorized users review, prepare, publish, and measure approved educational content on connected social accounts. A connected platform may ask you to authenticate and consent to specific permissions. You may decline or revoke those permissions through the platform, although doing so may disable related features.

You may connect only accounts that you own or are expressly authorized to manage. The integration may act only within the permissions granted by the platform and the applicable approval controls. A draft, script approval, or account connection does not by itself authorize final publication, advertising, spending, pricing changes, or customer contact.

EPS does not guarantee that a platform will approve an integration, accept or publish content, preserve a post, provide particular analytics, or keep an API or feature available. Platform review, moderation, rate limits, outages, and policy decisions remain under the platform's control.

6. Your content and permissions

You retain ownership of content you submit or authorize EPS to use, including videos, audio, images, scripts, documents, captions, trademarks, and account materials ("Your Content"). You represent that you have the rights and permissions necessary for EPS to process Your Content as requested and that doing so will not violate another person's rights or applicable law.

You grant EPS a limited, nonexclusive, worldwide license to host, copy, format, edit, resize, caption, transmit, display, and publish Your Content only as reasonably necessary to provide the requested service, carry out authorized publishing, maintain security and audit records, and comply with law. This license ends when the relevant service and legally required retention end, except for content already published at your direction and reasonable backup, security, or compliance copies.

You may revoke a social-platform connection through that platform's settings. Requests concerning retained integration data may be submitted as described in the Privacy Policy.

7. Acceptable use

You may not use an EPS service to:

  • violate law, platform rules, intellectual-property rights, privacy rights, publicity rights, or contractual obligations;
  • publish content you do not own or have permission to use;
  • impersonate another person, misrepresent authority, fabricate testimonials or outcomes, or make deceptive or unlawful claims;
  • send spam, harass others, distribute malware, bypass security controls, probe systems without authorization, or interfere with service operation;
  • extract credentials, tokens, confidential information, or personal data without authorization; or
  • use EPS services to train, benchmark, reverse engineer, or replicate protected EPS materials or systems except as permitted by law or written agreement.

8. EPS intellectual property

Except for Your Content and third-party materials, EPS websites, curricula, methods, templates, digital products, software, branding, and service materials are owned by Elitist Brand, LLC or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms and any offer-specific terms, EPS grants you a limited, personal, nonexclusive, nontransferable license to use purchased or provided materials for their intended purpose. You may not resell, publicly distribute, sublicense, or create competing derivative products from those materials without written permission.

9. Third-party services

EPS relies on third-party services such as Pensight, payment processors, cloud and analytics providers, and social platforms including Meta, LinkedIn, and TikTok. Your use of those services is also governed by their terms and privacy policies. EPS is not affiliated with or endorsed by those platforms unless expressly stated, and EPS is not responsible for their independent acts, content, availability, policies, or security.

10. Payments, cancellations, and refunds

Prices, payment schedules, cancellation terms, refund terms, and access periods are shown in the applicable offer, checkout, booking page, or written agreement. Payments may be processed by third parties under their own terms. Except where an offer-specific policy or applicable law provides otherwise, fees for services already delivered and digital materials already accessed are nonrefundable. Nothing in these Terms limits nonwaivable consumer rights.

11. Availability, changes, and termination

EPS may suspend or terminate access when reasonably necessary to address nonpayment, misuse, security risk, legal requirements, platform restrictions, or a material breach of these Terms. Where practical, EPS will provide notice and an opportunity to resolve the issue. You may stop using a service at any time, subject to applicable payment, cancellation, and retention terms.

EPS may discontinue a service or feature. If a paid service is materially discontinued before delivery, EPS will provide an appropriate substitute, credit, or refund for the undelivered portion as required by the applicable offer and law.

12. Educational-service disclaimers

EPS provides education, coaching, feedback, and tools—not guarantees. Individual results depend on preparation, practice, audience, context, market conditions, platform decisions, and other factors outside EPS's control. EPS does not guarantee confidence, employment, promotion, income, sales, audience growth, engagement, publication, or any other particular outcome.

To the maximum extent permitted by law, EPS services are provided "as is" and "as available" without warranties of uninterrupted operation, error-free performance, merchantability, fitness for a particular purpose, title, or noninfringement. These exclusions do not apply where prohibited by law.

13. Limitation of liability

To the maximum extent permitted by law, Elitist Brand, LLC and its owners, personnel, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, goodwill, opportunities, or platform access arising from an EPS service.

To the maximum extent permitted by law, the aggregate liability of Elitist Brand, LLC for a claim arising from a paid service will not exceed the amount you paid EPS for the affected service during the twelve months before the event giving rise to the claim. For a free service, aggregate liability will not exceed one hundred U.S. dollars. These limitations do not apply to liability that cannot lawfully be limited.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Elitist Brand, LLC and its owners, personnel, and contractors from third-party claims, damages, and reasonable costs arising from Your Content, your misuse of a service, your violation of these Terms, or your infringement of another person's rights. EPS will provide reasonable notice of a covered claim and allow you to participate in its defense.

15. Governing law and disputes

These Terms are governed by Florida law, without regard to conflict-of-law principles, except where applicable law requires otherwise. Before filing a formal claim, you and EPS agree to make a good-faith effort to resolve the dispute by written notice and direct discussion for at least thirty days.

Subject to any nonwaivable consumer right or legally required forum, disputes that cannot be resolved informally will be brought in the state or federal courts located in Miami-Dade County, Florida, and each party consents to those courts' jurisdiction. These Terms do not require arbitration and do not waive any right that cannot lawfully be waived.

16. Changes to these Terms

EPS may update these Terms to reflect changes in services, providers, platform requirements, or law. The revised Terms will be posted here with an updated date. Material changes will apply prospectively and may receive additional notice where appropriate. Continuing to use a service after revised Terms take effect constitutes acceptance to the extent permitted by law.
